Welcome to SDS Copilot. These Terms of Service ("Terms") constitute a legally binding agreement between you (whether an individual or entity) and SDS Copilot, Inc. ("SDS Copilot," "we," "us," or "our") governing your access to and use of our website, software, and AI-powered Safety Data Sheet generation services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Service

SDS Copilot provides an AI-powered web application designed to assist with the creation of Safety Data Sheets (SDS) based on ingredient information provided by users. The Service includes:

  • Template-based SDS creation
  • AI-assisted content generation for SDS sections
  • PDF output generation
  • User authentication and form management
  • Logo integration
  • Pictogram selection and integration

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for:

  • Safeguarding your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account or any other breach of security

We will not be liable for any loss or damage arising from your failure to comply with this section.

4. Use of the Service

4.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates any applicable law or regulation
  • Use the Service to generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt the Service or any server, computer, or database connected to the Service
  • Attack the Service via a denial-of-service attack or a distributed denial-of-service attack
  • Introduce any viruses, trojan horses, worms, logic bombs, or other harmful material into the system
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission from us
  • Use automated scripts, bots, or other automated means to access or interact with the Service

4.2 Content Responsibility

You are solely responsible for all data, information, and materials that you submit through the Service, including chemical ingredient information and company logos ("User Content"). You represent and warrant that:

  • You own or have the necessary rights to use and submit the User Content
  • The User Content does not infringe on the intellectual property rights or any other rights of any third party
  • The User Content complies with all applicable laws and regulations

4.3 AI-Generated Content

Our Service utilizes artificial intelligence to generate content for Safety Data Sheets. You acknowledge and agree that:

  • AI-generated content may not be perfect and should be reviewed for accuracy and compliance with regulatory requirements
  • You are ultimately responsible for ensuring that any SDS document generated through our Service meets all applicable regulatory standards and contains accurate information
  • We do not guarantee that AI-generated content will be error-free or suitable for your specific needs
  • You should validate all AI-generated content before using it for commercial or regulatory purposes

5. Subscription Plans and Payments

5.1 Subscription Plans

SDS Copilot offers various subscription plans with different features and usage limits. The details of each plan, including pricing and features, are available on our website. We reserve the right to modify the plans and their pricing at any time, with notice provided to active subscribers.

5.2 Payment Processing

Payments for subscription plans are processed through our secure payment processor. By subscribing to our Service, you agree to comply with all applicable payment terms in addition to these Terms. You agree to provide accurate and complete payment information and authorize us to charge your designated payment method for all subscriptions and applicable fees.

5.3 Billing Cycle

Subscription fees are billed in advance on a monthly or annual basis, depending on the subscription plan you select. Unless otherwise specified, subscriptions automatically renew at the end of each billing period unless canceled prior to the renewal date.

6. Refund and Cancellation Policy

6.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting our customer support through the Contact Us form on our website. Upon cancellation, your subscription will remain active until the end of the current billing period, after which it will not renew.

6.2 Refund Eligibility

Refunds may be issued under the following circumstances:

  • Within 14 days of initial subscription purchase if you are dissatisfied with the Service
  • In cases of duplicate or erroneous charges
  • Service outages lasting longer than 24 consecutive hours
  • If we terminate your account for reasons not related to violation of these Terms

Refunds are not available for partial subscription periods, after the 14-day period following initial purchase, or for accounts terminated due to violation of these Terms.

6.3 Refund Process

To request a refund, please contact our customer support through the Contact Us form on our website with your account information and reason for the refund request. All refund requests are subject to review and approval.

Approved refunds will be processed through the original payment method used for the purchase. Depending on your payment provider, it may take 5-10 business days for the refunded amount to appear in your account.

6.4 Partial Refunds

In certain cases, we may issue partial refunds at our discretion, particularly for annual subscriptions canceled early in the billing cycle. Partial refunds are calculated based on the unused portion of the subscription period, less any applicable processing fees.

6.5 Dispute Resolution

If you believe you have been incorrectly charged, or if you have questions about a refund decision, please contact us through the Contact Us form on our website. We are committed to resolving billing disputes fairly and promptly.

6.6 Changes to Refund Policy

We reserve the right to modify this refund policy at any time. Any changes will be effective immediately upon posting the updated Terms on our website. Refund requests will be processed according to the policy in effect at the time of purchase.

7. Intellectual Property Rights

7.1 SDS Copilot Intellectual Property

The Service, including its original content, features, functionality, and user interface, is owned by SDS Copilot and is protected by copyright, trademark, and other intellectual property laws. You may not duplicate, copy, or reuse any portion of the HTML/CSS, JavaScript, visual design elements, or concepts without express written permission from SDS Copilot.

7.2 User Content

By submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process that User Content for the purpose of providing the Service to you.

7.3 Generated Content

You retain all rights to the Safety Data Sheets generated through the Service, subject to our rights in the underlying technology and AI models used to generate the content.

8. Disclaimers and Limitations of Liability

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT GENERATED THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, COMPLETE, LEGAL, OR SAFE.

8.2 Safety Data Sheet Accuracy and Compliance

YOU ACKNOWLEDGE THAT WE DO NOT GUARANTEE THAT SAFETY DATA SHEETS GENERATED THROUGH THE SERVICE WILL COMPLY WITH ALL APPLICABLE REGULATIONS OR ACCURATELY REFLECT THE HAZARDS AND SAFETY INFORMATION FOR YOUR PRODUCTS. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT ANY SDS DOCUMENTS YOU CREATE, DISTRIBUTE, OR USE MEET ALL APPLICABLE LEGAL AND REGULATORY REQUIREMENTS.

8.3 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SDS COPILOT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
  • ANY CONTENT OBTAINED FROM THE SERVICE (INCLUDING AI-GENERATED CONTENT)
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO US DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

9. Termination

9.1 Termination by You

You may terminate your account at any time by following the instructions on our website or by contacting customer support. Upon termination, your right to use the Service will immediately cease.

9.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

9.3 Effect of Termination

Upon termination, your account and right to access and use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Miscellaneous

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions.

10.2 Dispute Resolution

Any dispute arising from or relating to these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the laws of South Africa.

10.3 Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

10.4 Entire Agreement

These Terms constitute the entire agreement between you and SDS Copilot regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter of these Terms.
